Terms and conditions.

For deliveries to companies, research institutions and private individuals. Every order is checked before dispatch.

1. Scope

These terms apply to all deliveries by HELVION LTD to businesses, to research and educational institutions, and to private individuals. Deviating terms of the customer apply only if we agree to them in writing.

Where these terms distinguish between businesses and consumers, this is stated expressly. Mandatory consumer protection law prevails over these terms in every case.

2. Review of every order

You may create a customer account at any time; there is no prior approval procedure. Instead, every individual order is reviewed before it is carried out: the institution, VAT number, delivery address and intended use. We reserve the right to decline an order without giving reasons. There is no entitlement to an order being carried out.

3. Offer and conclusion of contract

The presentation of goods in the online shop is not a binding offer. By placing an order you make an offer; the contract is concluded upon our order confirmation or upon dispatch.

4. Prices and payment

All prices include value added tax, ex warehouse, plus shipping and packaging. The price shown is the same in every destination country; the value added tax at the applicable rate is contained within it and is stated separately on the invoice.

Payment is taken when you complete the order, through our payment provider Stripe. The order is reviewed afterwards. If we cannot supply you, we refund the full amount by the same route; payment does not create an entitlement to the order being carried out.

5. Delivery

Delivery is made to the address we have verified. A different delivery address requires prior verification. The customer shall ensure that the consignment is accepted at the stated times. Delivery dates are non-binding unless expressly agreed as binding.

6. Restriction on use

The restriction on use applies and forms part of these terms. A breach entitles us to terminate the business relationship without notice and to block the account.

7. Warranty (Gewährleistung) and duty to inspect

The customer shall inspect the goods without delay upon receipt and give written notice of defects within seven working days. The only properties warranted are those of the certificate of analysis of the batch delivered. We do not warrant fitness for any particular purpose.

8. Returns and withdrawal

We do not take back opened vials — proper storage can no longer be established once the goods have left our warehouse.

Businesses and institutions: In business-to-business transactions (Unternehmergeschäfte) there is no statutory right of withdrawal for distance contracts.

Private individuals: As a consumer you have the statutory right to withdraw within fourteen days of receiving the goods. That right lapses early for sealed goods which are not suitable for return for reasons of health protection or hygiene, once the seal has been removed after delivery. This applies to our vials: an opened vial is therefore excluded from withdrawal, an unopened one is not.

An informal notice to office@helvion.uk is enough to withdraw. We refund the amount paid by the same route you paid by.

9. Liability

We are liable for intent and gross negligence. In the case of slight negligence, liability is limited to the value of the order; liability for consequential loss, loss of profit and indirect damage is excluded. Liability under mandatory product liability law remains unaffected. Any liability for damage arising from use contrary to the restriction on use is excluded.

10. Retention of title

The goods remain our property until payment has been made in full.

11. Choice of law and place of jurisdiction

English law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is London, England.
